MTZ Partners Agreement

Welcome to the MTZ Partners Program (the “Program”) where we provide a platform for individuals and entities (referred to as “Partner,” “you,” or “your”) interested in engaging in affiliate marketing with Mastering the Zodiac LLC, a Florida registered limited liability company (“Mastering the Zodiac,” “MTZ,” “we,” “us,” or “our”). This MTZ Partners Program Agreement (the “Agreement”) governs your participation in the Program. The Agreement incorporates the MTZ Partners Policies (the “Policies”), which are detailed below. By registering for or using the Program, you acknowledge and agree to be bound by both the Agreement and the Policies, recognizing them as binding and unified terms of your participation. We may update these terms from time to time.

1. Program Overview

The Program allows you to earn commissions by promoting Mastering the Zodiac's true sidereal reports through your website, social media, or other approved channels (“Your Platform”) using specialized tracking links provided by us (“Partner Links”). You will earn a commission for purchases made by individuals who click through the Partner Links from Your Platform to our website and purchase a report.

2. Compliance and Participation

Your participation in the Program is subject to your continuous compliance with this Agreement. You must ensure that the use of Partner Links on Your Platform is in harmony with all applicable laws, regulations, and guidelines. We reserve the right to terminate your participation in the Program for non-compliance or for any other reason at our sole discretion.

3. Relationship to Customers

Customers who purchase products and services through the Partner Links are customers of MTZ. All transactions and interactions with these customers will be governed by our website policies, including pricing, sales terms, and customer service. You will not handle customer inquiries or issues related to purchases through the Partner Links.

4. Partner Links and Content

You are responsible for integrating the Partner Links into Your Platform and for ensuring that all content on Your Platform is appropriate and compliant with applicable laws and regulations. We may provide you with materials such as graphics, promotional content, and data feeds to aid in your promotional activities, which must be used in accordance with this Agreement and any guidelines we provide.

5. Commission and Payment

You will earn commissions as outlined in the Policies below. Commissions are paid on qualifying purchases, as determined by us, excluding returns, cancellations, and fraudulent transactions. Payments will be made for each calendar month to your PayPal account, subject to the terms in this Agreement.

6. Term and Termination

This Agreement commences upon your acceptance and will continue until terminated by either party. You may terminate this Agreement at any time by ceasing to use the Partner Links and removing them from Your Platform. We may terminate this Agreement at any time, with or without cause, by providing you notice via email. Upon termination, you must immediately cease all use of Partner Links and any MTZ-related content. Termination will be clearly communicated, and all obligations will cease except those intended by their nature to survive termination. Following termination, you will remain eligible to receive commissions for any Qualifying Purchases that occurred prior to the termination date but have not yet been paid out. No commissions will be owed for any purchases occurring after the termination date.

7. Modifications

We reserve the right to modify any terms of this Agreement at our sole discretion. We will provide at least 30 days' advance notice of material changes via email. You may terminate this Agreement within the notice period without forfeiting earned or pending commissions. Your continued participation following the effective date of any modification constitutes your acceptance of the changes.

8. Limitations of Liability

MTZ shall not be liable for indirect, special, or consequential damages arising out of this Agreement or your participation in the Program. Our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement.

9. Indemnification

You agree to indemnify, defend, and hold harmless MTZ, its affiliates, directors, officers, employees, and agents against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your participation in the Program, your breach of this Agreement, the content or operation of Your Platform, or your violation of any law or the rights of a third party.

10. Confidentiality

You agree to maintain the confidentiality of any proprietary information received during your participation in the Program and for a period of five years after its termination.

11. Independent Contractors

Your participation in the Program does not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and MTZ. You have no authority to make or accept offers or representations on our behalf.

12. Governing Law

These terms are governed by and construed in accordance with the laws of Florida, without regard to its conflict of laws rules, and you irrevocably submit to the exclusive jurisdiction of the courts in that State.

13. Severability

If any term of this Agreement is deemed invalid or unenforceable, the remaining terms shall continue in full force and effect.

By registering for the Program, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Agreement. This Agreement constitutes the entire agreement between you and MTZ regarding your participation in the Program and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and MTZ.

MTZ Partners Policies

Commission Income

1. Qualifying Purchases and Commission

As an MTZ Partner, you'll earn commission based on "Qualifying Purchases," which are tracked through the unique Partner Links provided to you. Qualifying Purchases are made when a visitor clicks through your unique Partner Link to the Mastering the Zodiac website and completes a purchase of a true sidereal report or yearly report.

Attribution is established when a visitor arrives at the Mastering the Zodiac website through your Partner Link. The tracking parameter persists across all pages during that visit and is active for any purchase completed before the visitor navigates away from the site. Attribution ends when the visitor leaves the site. The "Commission" is calculated as a flat rate per purchase: $40 for each full-priced true sidereal report and $20 for each discounted report purchase.

2. Disqualified Purchases

Certain purchases may not qualify for Commission under the following circumstances: any purchase made after the termination of your agreement, except as provided in Section 6 regarding post-termination commission eligibility; orders that are canceled, returned, or refunded; purchases made through unauthorized links or methods that circumvent the intent of the MTZ Partners Program.

3. Commission Rates and Payments

You will receive Commission payments for each calendar month in USD, exclusively via PayPal, for all Qualifying Purchases during that calendar month. Payments will be issued approximately 30 to 60 days following the end of each calendar month. In rare circumstances, payouts may take longer due to unforeseen issues. We commit to communicating any delays promptly and will make every effort to minimize inconvenience.

Please be aware that notifications regarding payouts will be sent directly from PayPal to your PayPal email address. The notes section will include the total number of sales attributed to your Partner Links for the payout period.

Payments are sent directly to the PayPal email address associated with your account. You are responsible for maintaining a valid and active PayPal account capable of receiving funds. MTZ is not responsible for failed or returned payments resulting from an invalid, inactive, or incorrectly provided PayPal email address.

In the event of issues with PayPal on our side, we may request an alternative payment method to ensure timely payment.

In the event of cancellations, returns, or refunds for purchases previously qualifying for a Commission, the refund amount may be deducted from future payouts.

4. Communications and Email Notifications

By participating in the Program, you agree to receive communications from MTZ to the email address associated with your account. These communications may include, but are not limited to, transactional updates such as commission payments and purchase notifications, as well as operational notices, feature updates, and important information relevant to your participation in the Program.

Real-time notifications are currently enabled to inform you when a qualifying purchase is made using your Partner Link. These are sent automatically to help you monitor performance and engagement. You may not opt out of transactional or operational emails, as they are necessary for the proper functioning of the Program.

5. Commission Income Limitations and Adjustments

MTZ reserves the right to impose limitations on earning Commission in certain circumstances or to adjust Commission rates as necessary. Any such changes will be communicated in advance through updates to this agreement or other official channels.

Participation Requirements

1. Enrollment and Eligibility

Please complete the MTZ Partners Application, ensuring you provide accurate and thorough details regarding your content, audience, and platform strategy. Your Platform must feature original content, which we define as content uniquely created by you or your team and not widely replicated across other platforms. It is essential to clearly identify your Platform(s) within your application to facilitate our review process.

After submitting your application, we will conduct a review based on the alignment of your Platform with our brand values and objectives. Should your application not be accepted, we are committed to providing brief feedback to support your future endeavors.

2. Responsibility for Your Account Details

Your account details, including your contact information, PayPal email, and Platform identification, must be kept accurate and up-to-date. Communications from us will be sent to the email address linked to your account, and payments will be made to the PayPal email provided. It is your responsibility to maintain the validity of your account details. We are not responsible for any issues arising from inaccurate or outdated information.

You can update your account details by emailing [email protected]. Please ensure receipt of such email and note that it may take up to 1-2 weeks for any changes to be fully processed and reflected in our systems.

3. Links on Your Platform

Upon acceptance into the MTZ Partners Program, you are authorized to incorporate Partner Links on platforms that have been explicitly approved by us. Each specific platform where you intend to use Partner Links, whether owned directly by you or a third-party platform such as social media, must receive our direct approval to ensure compliance and alignment with our brand values. This requirement is crucial for maintaining the integrity of our program and ensuring the effective tracking, reporting, and accumulation of Commission income.

It is your responsibility to ensure that the use of Partner Links on any platform, including third-party platforms, is in compliance not only with our guidelines but also with the terms of use, policies, and guidelines of the platform itself. Failure to comply with the rules of the approved platforms may result in termination of your participation in the Program.

Partner Links must utilize the assigned MTZ Partner ID for proper functionality. General Link Requirements mandate that you alone are responsible for the placement, content, and style of each link. Compliance with our guidelines is essential for effective tracking and referrals.

4. Responsibility for Your Platform

The maintenance, content, and overall operation of your Platforms are solely your responsibility. This includes, but is not limited to, the technical operation and compliance with laws and guidelines related to online conduct and content; accurate representation and placement of Partner Links, adhering to our program and legal requirements; ensuring that content does not infringe on any rights and adheres to all applicable laws and guidelines.

5. Promotional Limitations

As a valued MTZ Partner, it's essential to align with our standards for promotional activities. You are prohibited from engaging in any marketing, advertising, or promotional efforts on behalf of Mastering the Zodiac or its affiliates that are not explicitly approved under this agreement.

Use of Mastering the Zodiac's trademarks, logos, marketing materials, digital assets, or any other proprietary content in any promotional activities, whether online or offline, is strictly prohibited without direct permission. Use of Partner Links in paid online advertising platforms, including but not limited to Google AdWords, Facebook Ads, and Bing Ads, is also strictly prohibited.

Partner Links can be included in email communications, provided these communications are opted into by the recipient and adhere strictly to our guidelines, as well as legal marketing standards.

You may not use Partner Links in connection with any client-side software (e.g., browser plug-ins, extensions) or on any device (e.g., computers, mobile phones) without prior approval.

Using automated systems, bots, or programmatic methods to generate clicks or traffic through Partner Links is strictly prohibited. This includes cookie stuffing, automated link injection, and bulk content created to manipulate search rankings or inflate referrals. Standard use of AI-assisted tools for creating genuine promotional content is permitted, provided the content complies with all other terms of this Agreement.

6. FTC Disclosure Requirements

You are required to clearly and conspicuously disclose your participation in the MTZ Partners Program on any platform where Partner Links are used. This disclosure must comply with all applicable laws and regulations, including FTC guidelines, and must be made in a manner that is clear to your audience prior to any click-through.
